Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you” or “User”) and TradeControl (“we,” “us,” or “our”) governing your access to and use of the TradeControl website at tradecontrol.io (the “Site”) and our risk-management software platform for futures prop firm traders (the “Service”).
By accessing or using the Site or Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Site or Service.
1. Eligibility
You must be at least 18 years of age and legally capable of entering into binding contracts in your jurisdiction to use the Service. By using the Service, you represent and warrant that you meet these eligibility requirements. The Service is not available to individuals in jurisdictions where its use would be prohibited by law or regulation.
2. Description of Service
TradeControl is a risk-management and trade-control software platform designed for retail futures traders who trade through proprietary trading firms (“prop firms”). The Service provides automated risk controls including, but not limited to:
- Daily and per-session loss limits
- Maximum contract size enforcement
- Trading schedule enforcement and session lockouts
- Trailing profit locks
- Symbol-specific restrictions
- Multi-account management and monitoring
The Service integrates with third-party trading platforms (e.g., Tradovate, NinjaTrader, TradingView) and operates on futures contracts traded on regulated exchanges, including those operated by CME Group (CME, CBOT, NYMEX, COMEX).
3. Important Disclaimers & Risk Disclosure
3.1 No Investment Advice
TradeControl does not provide investment advice, trading signals, trade recommendations, or financial planning services. We are not a broker-dealer, futures commission merchant (FCM), commodity trading advisor (CTA), commodity pool operator (CPO), registered investment adviser (RIA), or any other type of regulated financial intermediary. Nothing on the Site or within the Service constitutes a recommendation or solicitation to buy, sell, or hold any futures contract, security, or financial instrument.
3.2 Futures Trading Risk Disclosure
Futures trading involves substantial risk of loss and is not suitable for all investors. You may lose more than your initial investment. The high degree of leverage that is often obtainable in futures trading can work against you as well as for you. The use of leverage can lead to large losses as well as large gains. Past performance is not indicative of future results.
You should carefully consider whether futures trading is appropriate for you in light of your financial condition, risk tolerance, and trading experience. You should only trade with funds you can afford to lose.
3.3 No Guarantee of Performance
TradeControl does not guarantee that you will pass any prop firm evaluation, maintain a funded account, or achieve any particular trading results. The Service is a risk-management tool designed to help enforce discipline and structure, but trading outcomes depend on numerous factors beyond our control, including market conditions, your trading strategy, execution quality, and your own decision-making.
While our risk controls are designed to help protect your accounts, no software can prevent all losses. Technical failures, network latency, exchange outages, platform errors, or API disruptions may prevent risk controls from executing as configured. You remain solely responsible for all trading decisions and outcomes.
3.4 Prop Firm Relationship
TradeControl is an independent software provider and is not affiliated with, endorsed by, or partnered with any proprietary trading firm, futures exchange, or brokerage. Your relationship with your prop firm is governed by their own terms and conditions. We are not responsible for any actions taken by prop firms regarding your account, including account termination, payout disputes, or rule violations.
3.5 CME Group & Exchange Data
The Service may display or process market data from regulated futures exchanges, including those operated by CME Group. All market data is provided “as is” and may be delayed, incomplete, or inaccurate. We do not warrant the accuracy, completeness, or timeliness of any market data. CME Group and other exchange operators are not affiliated with TradeControl and bear no responsibility for the Service or its outputs.
3.6 Simulated vs. Live Trading
Many prop firm accounts operate in simulated or demo environments using virtual funds. TradeControl enforces risk controls regardless of whether the connected account is live or simulated. The presence of risk controls on a simulated account does not guarantee that the same controls will perform identically in a live trading environment, where factors such as slippage, liquidity, and execution speed may differ.
4. Account Registration & Security
- You must provide accurate, complete, and current information when creating an account.
- You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
- You agree to notify us immediately of any unauthorized use of your account.
- Accounts are personal and non-transferable. You may not share, sell, or assign your account to any other individual.
- We reserve the right to suspend or terminate your account if we reasonably believe that your account information is inaccurate or that your account has been compromised.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law, regulation, or exchange rule.
- Attempt to gain unauthorized access to the Service, other users’ accounts, or any related systems or networks.
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service.
- Use the Service to engage in market manipulation, spoofing, layering, wash trading, or any other abusive trading practice prohibited by the CFTC, CME Group, or any applicable regulatory authority.
- Resell, redistribute, or sublicense access to the Service without our prior written consent.
- Introduce viruses, malware, or any other harmful code to the Service or its infrastructure.
- Circumvent, disable, or interfere with any security features or access controls of the Service.
- Use automated scripts, bots, or scrapers to access the Service, except through our officially supported APIs.
6. Intellectual Property
All content, software, code, designs, trademarks, logos, and other intellectual property on the Site and within the Service are the exclusive property of TradeControl or its licensors. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial trading purposes in accordance with these Terms.
You may not copy, modify, distribute, sell, or create derivative works based on any part of the Service without our prior written consent.
7. Third-Party Integrations
The Service integrates with third-party trading platforms, data providers, and other services. These integrations are provided for your convenience and are subject to the terms and conditions of the respective third-party providers. We are not responsible for the availability, accuracy, or performance of any third-party service.
By connecting your third-party trading account to TradeControl, you authorize us to access and interact with your account data as necessary to provide the Service, including reading positions, orders, and account balances, and executing risk-control actions (e.g., flattening positions, canceling orders). You acknowledge that third-party API limitations, outages, or changes may affect the Service’s ability to enforce risk controls.
8. Fees & Payment
TradeControl is currently available through a free beta program. When paid plans become available, pricing and payment terms will be communicated in advance. By subscribing to a paid plan, you agree to pay all applicable fees.
- Fees are billed on a recurring basis (monthly or annually) as specified at the time of purchase.
- All fees are non-refundable unless otherwise stated or required by applicable law.
- We reserve the right to change pricing with reasonable advance notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRADECONTROL, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR:
- Any trading losses, failed evaluations, account terminations, or financial damages arising from your use of the Service.
- Any failure of risk controls to execute as configured due to technical issues, API failures, network latency, exchange outages, or other factors beyond our reasonable control.
- Any indirect, incidental, special, consequential, or punitive damages, regardless of the cause of action or theory of liability.
- Any loss of profits, revenue, data, or business opportunities.
IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the fullest extent permitted by law.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.
We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not warrant that risk controls will execute in all circumstances or that the Service will prevent any or all trading losses.
11. Indemnification
You agree to indemnify, defend, and hold harmless TradeControl and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:
- Your use of the Service.
- Your violation of these Terms or any applicable law or regulation.
- Your trading activities and decisions.
- Any dispute between you and a prop firm, broker, or other third party.
12. Termination
We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. You may terminate your account at any time by contacting us. Upon termination:
- Your license to use the Service is immediately revoked.
- We may delete your account data in accordance with our Privacy Policy.
- Provisions that by their nature should survive termination (including Sections 3, 9, 10, 11, 13, and 14) shall continue in full force and effect.
13. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.
Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days, it shall be submitted to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in the United States, and the arbitrator’s decision shall be final and binding.
CLASS ACTION WAIVER: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.
14. Regulatory Compliance
TradeControl is a software tool and does not execute trades on behalf of users or manage user funds. We do not operate as a futures commission merchant (FCM), commodity trading advisor (CTA), or any other CFTC-regulated entity. The Service is designed to assist traders in implementing their own risk parameters and does not constitute a managed account arrangement.
You are solely responsible for ensuring that your use of the Service complies with all applicable laws, regulations, and exchange rules, including but not limited to the rules and regulations of the Commodity Futures Trading Commission (CFTC), the National Futures Association (NFA), CME Group, and any applicable prop firm terms and conditions.
15. Modifications to Terms
We reserve the right to modify these Terms at any time. We will post the updated Terms on this page and update the “Last Updated” date. For material changes, we will provide notice via the Site or email. Your continued use of the Service after such changes constitutes acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Service.
16. Miscellaneous
- Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and TradeControl regarding the Service.
- Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
- Waiver: Our failure to enforce any provision of these Terms shall not be deemed a waiver of that provision or any other provision.
- Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
- Force Majeure: We shall not be liable for any delay or failure to perform resulting from causes beyond our reasonable control, including natural disasters, war, terrorism, exchange outages, internet disruptions, or government actions.
